1. Agreement

By signing up to be an Affiliate in the Web Dynamics Affiliate Program (“Program”), you are agreeing to be bound by the following terms and conditions (“Terms of Use”).

Web Dynamics reserves the right to update and change these Terms of Use from time to time without notice. Any new features that augment or enhance the current Program, including the release of new tools and resources, shall be subject to these Terms of Use. Continued use of the Program after any such changes shall constitute your consent to such changes.

2. Affiliate Account

To become an Affiliate, you must complete the registration process by providing current, complete, and accurate information as prompted by the registration form.

3. Affiliate Responsibilities

As an Affiliate, you agree to:

Promote Web Dynamics products/services using the provided marketing materials and guidelines. Ensure that all promotional materials, including but not limited to banners, links, and emails, comply with all applicable laws, including but not limited to the CAN-SPAM Act. Avoid any misleading, deceptive, or fraudulent practices. Not engage in any form of spamming or unsolicited email marketing. Abide by all community guidelines when posting and commenting within the client portal. Follow all approved marketing practices.

4. Commissions
You will earn a 10% commission on each sale that originates from your affiliate link, provided the sale is tracked and reported through our affiliate tracking system. Commissions are paid out on a monthly basis via PayPal, with payments processed 30 days after sales have been verified. This means earnings for a given month will be paid out at the end of the following month. Please note that no commission will be paid on sales that are refunded, canceled within the first 30 days, or subject to chargebacks. If a chargeback occurs after a commission has been paid, the corresponding amount will be deducted from future payouts. Additionally, there is a minimum payout threshold of $50; if your earnings do not meet this threshold, they will roll over to the next payout period until the threshold is reached.

5. Term and Termination

This Agreement will begin upon our acceptance of your Affiliate Program application and will continue unless terminated hereunder. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon termination, all rights granted to you hereunder will immediately cease, and you must promptly remove all links to our website and cease using any of our trademarks, logos, and marketing materials.

6. Confidentiality

All non-public information disclosed by Web Dynamics to the Affiliate during the term of this Agreement shall be considered confidential information. The Affiliate agrees to not disclose or use any such confidential information except as necessary to perform its obligations under this Agreement.

7. Limitation of Liability

Web Dynamics will not be liable for any indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages.

8. Disclaimers

We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our website will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

9. Independent Contractor

You are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Web Dynamics. You will have no authority to make or accept any offers or representations on our behalf.

10. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of Arizona, without regard to the conflicts of laws and principles thereof.

11. Modification

We may modify any of the terms and conditions contained in this Agreement at any time at our sole discretion. You will be notified of any changes by posting the new terms on our site and/or sending an email to Affiliates.

12. Entire Agreement

This Agreement constitutes the entire agreement between us and you and supersedes all prior agreements and understandings.

13. Additional Requirements

Tax Forms: Affiliates must submit a W-9 Form if residing in the United States. Affiliates must submit a W-8 Form if residing outside the United States.

Community Guidelines: Affiliates must abide by the community guidelines when posting and commenting within the client portal.

Marketing Practices: Affiliates must follow all approved marketing tactics and approaches.

14. Acknowledgement

By signing up and continuing to use the Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions, as well as our privacy policy.
